1) What Sobio Is (and Isn’t)
Sobio provides a coordination platform that helps clients, clinicians, and coaches work together. Some
services are informational or supportive (coaching), while others may be clinical (delivered by licensed clinicians). Sobio is not an emergency service and does not itself practice medicine, provide diagnosis, or prescribe unless explicitly done by a licensed clinician using Sobio as a tool.
– Emergency: If you are in danger or experiencing a medical or mental health crisis, call 911 (US) or 988 (Suicide & Crisis Lifeline) immediately.
– No Provider–Patient relationship by browsing: A provider–patient relationship forms only when a licensed clinician formally accepts you into care.
2) Eligibility & Accounts
You must be at least 18 (or have valid parental/guardian consent if we allow minors in your state) and able
to enter a contract. Keep your login safe and notify us of suspected misuse. You are responsible for activity under your account.
3) Communications Consent
By providing your email and/or phone, you consent to receive operational emails/SMS (e.g., scheduling,
reminders, security alerts). Message/data rates may apply. You can opt out of non-essential messages, but we may still send transactional or safety notices.
4) Payments, Insurance & Scheduling (Clients)
Some services may be self-pay; others may use insurance via participating clinicians. Pricing, copays, and
cancellation windows are shown at booking. Missed/late cancellations may incur fees. Insurance determinations are made by your clinician and insurer; Sobio does not guarantee coverage.
5) Acceptable Use (All Users)
– Break no laws; do not infringe others’ rights, or harass/abuse participants.
– Do not upload malware or attempt to scrape, reverse engineer, or bypass security.
– Do not post others’ confidential information without permission.
– Use our secure workflows for sensitive data; avoid non-secure channels for PHI/Part 2 data.
We may suspend or terminate accounts for violations.
6) Intellectual Property & Proprietary Rights
All software, the app, dashboards, designs, workflows, algorithms, documentation, and brand assets are Sobio’s proprietary property protected by IP laws. We grant you a limited, revocable, non-transferable license to use the platform for its intended purposes.
– No reverse engineering, decompiling, or derivative works.
– Feedback: You grant Sobio a royalty-free license to use suggestions to improve the service.
– User Content: You retain ownership of your content. You grant Sobio and your assigned clinician/coach a license to use it to provide services, comply with law, and improve safety/quality. We may use de-identified and/or aggregated data to improve services and analytics.
7) Privacy & Security (Summary)
– We use administrative, technical, and physical safeguards to protect information. However, no system is 100% secure.
– HIPAA & 42 CFR Part 2: To the extent Sobio supports SUD services, information identifying a client as receiving SUD treatment may be protected by 42 CFR Part 2, in addition to HIPAA. We restrict disclosure of PHI as required.
– Business Associate: For clinicians using Sobio to deliver care, Sobio may act as a Business Associate under HIPAA; a BAA will apply.

– Children’s privacy: We do not knowingly collect personal data from children under 13.
8) Third-Party Services
We may link to or integrate with third-party tools (e.g., telehealth, EHR, payments). Those providers’ terms and privacy practices apply to their services. We are not responsible for their content or performance.
9) Disclaimers; Limitation of Liability
The services are provided "AS IS" and "AS AVAILABLE." To the fullest extent allowed by law, we disclaim
warranties (merchantability, fitness, non-infringement) and limit liability for indirect, incidental, special, consequential, or punitive damages. Our total liability for all claims shall not exceed the amount you paid to Sobio in the 12 months before the claim or $100, whichever is greater. Some jurisdictions do not allow these limits; they apply to the maximum permitted.
10) Indemnification
You agree to defend, indemnify, and hold Sobio and our officers, directors, employees, and agents harmless from claims arising out of your misuse of the services, violation of these terms, or infringement of
others’ rights.
11) Changes; Termination
We may update these terms and will post the Effective date above. If you continue using the services after updates, you accept the changes. We may suspend or terminate your account for any reason, including safety or legal risk.
12) Governing Law; Dispute Resolution
These terms are governed by the laws of [State], without regard to conflicts principles.
Arbitration & Class Waiver (US): Any dispute arising from or relating to the services shall be resolved by binding arbitration on an individual basis; no class actions. You and Sobio each waive the right to a jury trial. (You may opt out within 30 days of first use by emailing legal@sobioapp.com with subject “Arbitration Opt-Out” and your account email.)
13) DMCA / IP Complaints
If you believe material infringes your copyright, contact our designated agent at legal@sobioapp.com with: your contact info, the work claimed, the location/URL of the alleged infringement, and your sworn statement of good faith and ownership.

Addendum A — Clinician Terms
– Status. You act as an independent professional, not as Sobio’s employee. You are solely responsible for clinical judgment, documentation, and legal compliance.
– Licensing & NPI. You maintain valid licensure in all states served and an NPI; notify Sobio of any change, investigation, or sanction.
– Insurance. Maintain professional liability insurance with customary limits and provide proof upon request.
– Telehealth. Verify telehealth eligibility and state/jurisdiction requirements before care.
– Scope. Practice within scope, including evaluation, therapy, and/or medication management as permitted.
– Documentation. Maintain timely, accurate records, including safety plans and coordination notes.
– Privacy & Security. Comply with HIPAA and, where applicable, 42 CFR Part 2; follow our BAA and platform policies.
– Coordination. Coordinate with assigned coaches and external providers as clinically appropriate; retain full clinical autonomy.
– Safety & Escalation. Follow escalation protocols; document risk assessments; instruct clients about emergency options.
– Independent Billing. If you bill insurance or charge fees, you (or your group) are the billing provider of record.
– Non-Solicitation (optional). For [12] months after last contact with a Sobio-introduced client, do not solicit or accept that client off-platform without Sobio’s consent.
– Conflicts & Marketing. Disclose conflicts; follow branding guidance; do not misuse marks.
Addendum B — Coach Terms
– Non-Clinical Role. Coaching is not medical care and does not include diagnosis, psychotherapy, or medication management.
– Status. You act as an independent contractor unless otherwise agreed.
– Training & Boundaries. Maintain current training on boundaries, ethics, privacy, and crisis de-escalation.
– Privacy & Notes. Use Sobio’s secure tools for notes; do not store PHI on personal apps/devices.
– Safety & Escalation. Follow escalation protocols and document risk flags promptly.
– On-Call Assignments. Clients may be assigned on a rotating/on-call basis; coaches do not select clients.
– Non-Solicitation (optional). For [12] months after last contact with a Sobio-introduced client, do not solicit or accept that client off-platform without Sobio’s consent.
– Brand & Conduct. Present professionally, avoid misrepresentation, and follow Sobio’s Code of Conduct.
Addendum C — App / EULA Terms
– License. Limited, non-exclusive, non-transferable license to install and use the app on devices you own or control.
– Restrictions. No copying, distribution, framing/scraping, or reverse engineering.
– Updates. We may push updates that you must install to continue using the app.
– Device & Network. You are responsible for compatible hardware, OS updates, and secure networks.
– Proprietary Rights. The app, code, and all content are trade secrets and confidential information of Sobio.
– Open-Source Components. Some parts may be subject to open-source licenses; those terms control where applicable.
California/State Privacy Notes (Summary)
If you are a resident of California (or states with similar laws), you may have rights to access, correct, delete, or limit the use of your personal information.
